1. Acceptance of Terms
Welcome to BYDE. By accessing or using our Software as a Service (SaaS) application (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service. These Terms are a legally binding agreement between you and BYDE, located in Adelaide, South Australia.
2. User Responsibilities
As a user of the Service, you agree to the following:
You will provide accurate, current, and complete information during the registration process and keep your account information updated.
You are responsible for safeguarding your password and for all activities that occur under your account.
You will use the Service only for lawful purposes and in accordance with these Terms.
You will not use the Service to engage in any activity that is fraudulent, harmful, or infringes upon the rights of others.
You agree not to decompile, reverse engineer, or otherwise attempt to obtain the source code of the Service.
3. Intellectual Property
All materials within the Service, including but not limited to software, text, graphics, logos, and trademarks, are the exclusive property of BYDE or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes, subject to these Terms. You may not copy, modify, distribute, sell, or lease any part of our Service or included software.
4. Fees and Refunds
Access to certain features of the Service may require payment of fees. All fees are stated in Australian Dollars (AUD) and are inclusive of GST, unless otherwise specified. In accordance with Australian Consumer Law, we are not required to provide a refund if you change your mind. However, you may be entitled to a refund or other remedy for a major failure and for compensation for any other reasonably foreseeable loss or damage. 5. Indemnity
You agree to indemnify, defend, and hold harmless BYDE and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable legal fees and costs, arising out of or in any way connected with your access to or use of the Service, or your violation of these Terms.
6. Limitation of Liability
To the maximum extent permitted by law, including the Australian Consumer Law, the Service is provided "as is" and "as available" without any warranties of any kind. BYDE does not guarantee that the service will be uninterrupted or error-free. In no event shall BYDE be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Where liability cannot be excluded, our liability is limited to the amount you have paid to us for the Service in the 12 months preceding the event giving rise to the claim, or the resupply of the services.
7. Termination
BYDE may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. You may terminate your account at any time by ceasing use of the Service and notifying us. Upon termination, your right to use the Service will immediately cease.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of South Australia, Australia, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of South Australia.
